WELCOME TO ESCRONICS. THIS PLATFORM IS OWNED BY ESCRONICS, HAVING ITS PLACE OF BUSINESS AT _____________, PUNE. (hereinafter referred to as “Escronics” or “Us” or “We” or “Our”)

YOUR USE OF THE ESCRONICS AND SERVICES ARE GOVERNED BY THE FOLLOWING TERMS AND CONDITIONS. BY MERE USE OF THE SITE OR SERVICES, YOU SHALL BE CONTRACTING WITH ESCRONICS, THE OWNER OF THE WEBSITE. THESE TERMS OF USE INCLUDING USER AGREEMENT, PRIVACY POLICY, COOKIE POLICY AND ANY OTHER RELATED POLICIES CONSTITUTE A BINDING AGREEMENT BETWEEN USERS AND ESCRONICS.

These Terms of Use shall apply to all visitors and users (hereinafter referred to as “User or “You” or “Your”) who access or use our Services. These terms explain how we expect a User or a Visitor to behave when you’re using Escronics. The use of this website is subject to other policies as well, such as Privacy Policy, Cookie Policy and User Agreement. (collectively referred to as “Terms of Service”) Please read the terms of service carefully before using this website and/or our Services.

1.1 Intellectual Property Rights

1.2 The Site is owned and operated by Escronics and the products listed on the Site are sold by the respective Sellers. All materials on our Site including images, video clips, graphical representations, audio clips, drawings, diagrams and any other related content (“Content”), are protected by copyrights, trademarks, patents and other Intellectual Property Rights. You must not copy, reproduce, republish, upload, post, transmit or distribute any material that is posted on our Site nor will you assist any other person to do so.

1.3 You shall solely be responsible for any content that you upload or provide on this Site when using any Service. This includes, but not limited to, images, video clips, graphical representations, audio clips, drawings, diagrams and any other related content. When posting content or information on the Sites, each User is responsible for ensuring that any things referenced are legal to be sold, offered for sale, or otherwise distributed. A User may be held accountable when a third party's information was released without the owner’s permission.

1.4 You agree to grant us a royalty-free, perpetually, irrevocably unconditionally and worldwide right to Escronics to use or reproduce the content for any reasonable business purpose.

1.5 Communication and Transaction

2.1 Escronics does not represent either the Seller or the Buyer in a transaction that takes place on our Site, regardless of how the transaction is carried out. Sellers' capacity to complete a transaction and Buyers' ability to make a purchase are all outside of the control and responsibility of Escronics.

2.2 Users are solely responsible for all transactions made on, via, or as a result of usage of the Sites, including but not limited to terms of payment and returns, warranties, and shipping, and insurance fees (if any).

2.3 No responsibility is assumed by us for the items or services provided in connection with a transaction, or for the ability of the Seller or Buyer to carry out any transaction.

1.6 Limitations on Right to Use Site

Seller may use the Site for lawful purposes only. In addition to the limitations set forth in the Terms of Use, Seller shall not:

• a) impersonate any other person or otherwise mislead Escronics or others as to your identity;
• b) sell illegal, counterfeit or stolen products;
• c) infringe on any third party’s intellectual property rights, including copyright, trademark, trade secret, patent or other rights;
• d) submit any content to the Site that is obscene, deceptive, defamatory, libelous, harassing or false; or
• e) sell weapons, alcohol or items that have been identified by the applicable laws, rules and regulations as harmful to consumers or subject to a recall.

1.7 Product Listing Requirements

4.1 Seller must accurately and completely describe the product offered for sale and the condition of the item to be sold;

4.2 Seller must include a picture of each particular item to be sold (the actual item, not a representative picture of a similar item) clearly showing the condition of the item;

4.3 Product description shall only contain information and pictures relevant to the sale of the item;

4.4 All products must be listed in the appropriate category;

4.5 Seller shall also include detailed policies for shipping, payment procedures, returns, refunds and other relevant policies that are reasonable according to industry standards;

4.6 There must be an accurate fixed sales price for the item;

4.7 Seller shall comply with all other policies and procedures communicated to Seller by Escronics.

1.8 Products Monitoring

Escronics has the right to monitor the products listed on the Site to determine compliance with the Terms of Service and to comply with any rule, law, regulation or authorized law enforcement request. We may remove the listed product if it violates our Terms of Service or any applicable law.

1.9 Professional Standards

• a) You will not engage in any type of acts that are criminal in nature, including the sale or attempted sale of counterfeit, stolen, or otherwise banned products and/or items.
• b) You will not post anything that is misleading, unlawful, or in violation of our Terms of Service or the applicable law.
• c) You will not defraud or assist anyone in defrauding other users.
• d) You will not engage in piracy or else you will be held accountable for your actions.
• e) It is each User's responsibility to ensure that they have all necessary consents, approvals, and waivers from any company reference it posts information about or on behalf of.
• f) You will not talk to another user or ask for their contact details with a view to getting in touch outside of our Site. You agree that you will not add your contact details to your product description, your profile, your chat or any related mediums.

1.10 Representations and Warranties of Users

7.1 You are authorized to enter into this Agreement and use this Site on behalf of yourself. If you’re a business entity, you are authorized to enter into this Agreement and use this Site on behalf of the Business.

7.2 The information that you provide while establishing an account with us is true and accurate. Should there be any change as regards your information, you will immediately update the information and/or account with us.

7.3 All information and materials you have provided are accurate, true, and non-misleading.

7.4 You have complied with the rules and regulations of the country, region, or jurisdiction in which they are located, in addition to any local regulatory requirements and the Terms of Service policies mentioned on our Site.

7.5 The payment method that you have given us is yours and you are authorized to make payments on behalf of yourself or your business entity. You do not require any further authorizations from someone else.

1.11 Transactions Between Sellers and Buyers.

The Site facilitates communication and transactions between Sellers and Buyers. Escronics is not a party to any transaction between any Seller or Buyer. Escronics cannot, and does not, monitor or control the actions of any User, including verifying any User’s identity or ensuring a User’s ability or intent to complete any transaction. Any transaction Seller chooses to participate in related to the Site is at Seller’s sole risk. By using the Site, Users accept all risk associated with any transactions related to the Site and agree that Escronics shall not be liable for any damages or loss Seller may suffer as a result of its Posts.

1.12 No Warranties; Limitation of Liability

ESCRONICS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING CONTENT, INCLUDING, WITHOUT LIMITATION, THE ACCURACY, QUALITY, RELIABILITY, OR COMPLETENESS OF THE CONTENT. ESCRONICS SHALL NOT BE LIABLE FOR ANY ERRORS OR OMISSIONS IN THE SITE OR THE CONTENT. ESCRONICS MAKES NO WARRANTY THAT THE CONTENT IS VIRUS OR ERROR FREE, OR THAT THE CONTENT DOES NOT VIOLATE ANY THIRD PARTY INTELLECTUAL PROPERTY RIGHTS. THE CONTENT IS PROVIDED AS IS, AS AVAILABLE AND WITH ALL FAULTS AND WITHOUT ANY WARRANTY OF ANY KIND. ESCRONICS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, OR ARISING BY COURSE OF PERFORMANCE OR USAGE, INCLUDING WITHOUT LIMITATION, ANY REPRESENTATIONS OR WARRANTIES RELATED TO NON-INFRINGEMENT, MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON- INTERFERENCE.

IN NO EVENT SHALL ESCRONICS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SUCCESSORS AND ASSIGNS, BE LIABLE FOR ANY PUNITIVE, EXEMPLARY, DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOSSES ARISING IN CONNECTION WITH THIS AGREEMENT OR THE CONTENT. SELLER’S SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH ESCRONICS IS TO CANCEL OR SUSPEND SELLER’S ACCOUNT AND LISTING AND CEASE USING THE SITE. IN NO EVENT SHALL ESCRONICS BE LIABLE FOR ANY DAMAGES OR OTHER AMOUNTS IN EXCESS OF THE SUBSCRIPTION FEES RECEIVED BY ESCRONICS FROM SELLER DURING THE YEAR IN WHICH THE EVENT GIVING RISE TO THE DAMAGES OR OTHER AMOUNTS OCCURRED.

1.13 Indemnification

Seller agrees to indemnify and hold harmless Escronics and its affiliates, officers, agents, employees, representatives, attorneys, successors and assigns from and against any claims, losses, damages, liabilities, expenses (including reasonable attorneys’ fees and expenses) arising from or in any way related to the Listing, the Seller Posts, and Seller’s use of the Site, any services or products provided to Users, and/or Seller’s breach of this Agreement or the Terms of Use.

1.14 Waiver

You waive all claims against Escronics, regardless of the bases upon which such claim(s) may be made, that may be based on, arise in connection with, or be related to any of the following:

• a) If the Seller fails to fulfill its shipping responsibility or the Seller continues to fail to ship the items after the stipulated shipment term has expired.
• b) If the Seller fails to ship the items within the time specified in the transaction contract or as mutually agreed upon by the Buyer and Seller.
• c) If the Seller's actual delivery of the goods does not conform to the transaction contract's agreed requirements including, but not limited to, the goods material, category, safety, standard not conforming to the agreed requirements, the loss of major functions or unavailability for use of the goods, substandard quality or short shipment.
• d) If the Buyer defaults on payment following receipt of goods.
• e) If there is no Purchase and Sale of Goods Agreement between the Buyer and the Seller.
• f) If the User violates any other transaction rules or engages in dishonest business conduct,

1.15 Entire Agreement

This Agreement (including the User Agreement, Privacy Policy, Cookie Policy and other related documents) constitutes the entire agreement between the Parties and supersedes any prior understandings, agreements, or representations by or between the Parties, written or oral, to the extent they are related in any way to the subject matter hereof.

1.16 Conflict with other Agreements

In case of any conflict between User Agreement and Terms of Use (or any portion thereof) and any other agreement now existing or hereafter entered into, the terms of User Agreement shall prevail.

1.17 Miscellaneous

Escronics may assign this Agreement at any time to its parent, any subsidiary, or any affiliated company, or as part of the sale to, merger with, or other transfer of Escronics to another entity. User may not assign this Agreement to any person or entity without prior consent from us. The failure of Escronics to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision in this Agreement is held to be illegal, invalid or unenforceable, the provision will be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remaining provisions of this Agreement will remain in full force and effect. Users and Escronics are independent contractors and no agency, partnership, joint venture or other relationship is intended or created by this Agreement.
